2. Scope of These Terms
These terms govern use of the YSOMA website and its online enquiry, registration and membership facilities.
They do not replace any separate written agreement concerning: 1. Direct delivery services 2. A contractor arrangement 3. A van lease 4. A driver introduction 5. A business introduction fee 6. Recruitment cooperation 7. Payment or invoicing 8. Any particular work opportunity
Where a separate written agreement applies, that agreement will govern the relevant commercial arrangement.
3. YSOMA Services
YSOMA operates through three service areas:
YSOMA DRIVER Self-employed delivery service providers may be considered for direct service arrangements with YSOMA through designated depot operations.
YSOMA PARTNER Own-van delivery service providers using a suitable plain white or neutral van may register for potentially relevant opportunities.
YSOMA RECRUIT Logistics businesses and approved recruitment partners may request introductions to drivers whose profiles may match their requirements. YSOMA may charge the requesting business an agreed flat introduction fee. YSOMA does not take a percentage of the driver's earnings.
4. Website Information Is Not an Offer
Information on this website is general information only.
Nothing on the website constitutes: 1. An offer of employment 2. An offer of a contractor agreement 3. A guaranteed route 4. A guaranteed number of working days 5. A guarantee of earnings or rates 6. A guaranteed vehicle or lease 7. A guaranteed introduction 8. A guarantee of acceptance, suitability or performance 9. Tax, employment-status, financial or legal advice
Rates, fees, services, responsibilities and payment arrangements must be confirmed in the applicable written agreement before anyone proceeds.
5. Registration and Membership
Registering interest or creating a membership profile is an initial step only.
It does not guarantee: 1. Contact from YSOMA 2. Verification or approval 3. Membership acceptance 4. A route or work opportunity 5. A van or lease 6. An introduction to another business 7. Any particular rates or earnings
YSOMA may request further information or documents where reasonably required for a particular opportunity or arrangement.
YSOMA may decline or stop considering an enquiry where information is incomplete, inaccurate, unverifiable or unsuitable for the relevant requirements.
6. Accuracy of Information
You must ensure that information you provide is accurate, current and not misleading.
You must inform YSOMA if relevant information changes, including information relating to: 1. Contact details 2. Driving entitlement 3. Insurance 4. Vehicle status 5. Availability 6. Right to provide services in the United Kingdom 7. Any matter that may affect safe or lawful delivery services
Providing false or misleading information may result in an enquiry, membership profile or proposed arrangement being suspended or closed.
7. Self-Employment Status
The opportunities described on this website are intended for self-employed delivery service providers.
However, describing an arrangement as self-employed does not by itself determine legal or tax status.
Status depends on: 1. The applicable written agreement 2. The actual working arrangements 3. The level of control and independence 4. Personal-service or substitution requirements 5. Financial risk 6. Other relevant legal factors
Nothing in these website terms removes any statutory right that applies under the actual circumstances.
Drivers should obtain independent legal, tax or accounting advice if uncertain about their status or obligations.
8. Direct YSOMA Services
Any direct service arrangement between YSOMA and a driver must be governed by a separate written agreement.
That agreement should address matters including: 1. The services to be provided 2. Service standards 3. Availability and acceptance 4. Rates and invoicing 5. Payment arrangements 6. Insurance 7. Vehicle arrangements 8. Compliance requirements 9. Responsibility for loss or damage 10. Termination
Website registration alone does not create a direct-service contract.
9. Own Van Drivers
A YSOMA Partner must own or lawfully lease a suitable plain white or neutral van.
The driver remains responsible for ensuring that the vehicle is: 1. Safe and roadworthy 2. Properly maintained 3. Suitable for the proposed services 4. Correctly taxed where applicable 5. Covered by the required insurance 6. Operated lawfully
Specific vehicle requirements may vary between opportunities and will be explained before the driver decides whether to proceed.
10. YSOMA-Owned Vans
Any use of a YSOMA-owned van is subject to eligibility and a separate written lease or vehicle agreement.
YSOMA-owned vans carrying client livery may only be used for services authorised by YSOMA under the relevant agreement.
They must not be used to provide delivery services for another delivery business.
The website does not guarantee that a van will be available or that any person will qualify for a lease.
11. Driver Introductions
YSOMA may review driver profiles against requirements supplied by a logistics business or approved recruitment partner.
Before personal information is shared for an intended introduction: 1. The driver will be informed about the proposed recipient and opportunity 2. The intended information sharing will be explained 3. The driver's agreement will be obtained where required
Registration or membership alone does not authorise automatic sharing with another business.
Following an introduction: 1. The driver decides whether to proceed 2. The receiving business remains responsible for its own checks 3. The driver and receiving business must agree their own written terms 4. YSOMA does not guarantee either party's conduct, suitability or performance
12. Logistics-Business Enquiries
A logistics business requesting drivers must provide accurate information about its requirements, location, vehicle arrangements and proposed services.
The business remains responsible for: 1. Its own legal and regulatory compliance 2. Employment-status assessment 3. Right-to-work and suitability checks where applicable 4. Insurance and operational requirements 5. Health and safety 6. Written terms with the driver 7. Payment arrangements 8. Supervision and control of its own services
YSOMA's profile review does not replace the requesting business's own checks.
13. Recruitment Partners
Recruitment businesses may apply to cooperate with YSOMA.
Submitting an application does not create: 1. Approval 2. A partnership 3. An agency relationship 4. Exclusivity 5. Access to driver information 6. A guarantee of introductions
If approved, cooperation, fees, responsibilities, data handling and introduction terms must be agreed separately in writing.
Recruitment partners must not use or share driver information beyond the authorised purpose.
14. Introduction Fees
Any introduction fee payable to YSOMA will be: 1. Charged to the requesting business 2. Agreed before an introduction proceeds 3. A flat fee rather than a percentage of driver earnings 4. Governed by separate written business terms
Submitting a website enquiry does not by itself create a payment obligation.
15. User Accounts
Where membership or account access is provided, you are responsible for: 1. Keeping login details secure 2. Not sharing access with an unauthorised person 3. Notifying YSOMA of suspected unauthorised access 4. Keeping profile information accurate 5. Using the account only for its intended purpose
YSOMA may suspend access where reasonably necessary to protect users, data, security or the integrity of its services.
16. Acceptable Website Use
You must not: 1. Use the website unlawfully 2. Submit false, fraudulent or misleading information 3. Attempt unauthorised access 4. Introduce malicious software 5. Interfere with website security or availability 6. Copy or harvest personal information 7. Impersonate another person or business 8. Use the website to infringe another person's rights

An opportunity, registration or introduction not proceeding
YSOMA does not exclude any statutory rights that cannot lawfully be excluded.
Any commercial liability relating to direct services, leases or business introductions will be governed by the applicable separate written agreement.
22. Suspension or Removal
YSOMA may suspend or remove a membership profile or website access where reasonably necessary because of: 1. Suspected fraud 2. Materially inaccurate information 3. Misuse of the website 4. Security concerns 5. Unlawful activity 6. A serious or repeated breach of these terms
This does not automatically terminate a separate commercial agreement, which will be governed by its own terms.
23. Changes to These Terms
YSOMA may update these website terms when its website, services or legal obligations change.
The updated version and effective date will be published on this page.
Changes to website terms do not retrospectively alter a separate signed agreement.
24. Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions will continue to apply.
25. No Waiver
A delay or failure by YSOMA to enforce a provision does not permanently waive its right to enforce that provision later.
26. Third-Party Rights
Unless expressly stated otherwise, a person who is not a party to these website terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
27. Governing Law
These website terms are governed by the law of England and Wales.
